1.1. Binding Agreement. These Terms of Service (hereinafter referred to as the "Terms" or "Agreement") constitute a legally binding agreement between you (hereinafter referred to as "User," "you," or "your") and What's the moves LLC (hereinafter referred to as "What's the moves," "Company," "Platform," "we," "us," or "our"). This Agreement governs your access to and use of the What's the moves website, mobile application, and any related services (collectively, the "Services").
1.2. Acceptance. By creating an account, accessing, browsing, or otherwise using the Services, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you are strictly prohibited from accessing or using the Services and must immediately discontinue use.
1.3. Modifications. We reserve the right, at our sole and absolute discretion, to modify, amend, or replace these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on the Platform. It is your responsibility to review these Terms periodically for changes. Your continued use of the Services following the posting of any changes constitutes your acceptance of those changes.
1.4. DEFINITIONS For the purposes of this Agreement: (i) "Content" means text, graphics, images, music, software, audio, video, information or other materials; (ii) "User Content" means Content that a User posts, uploads, publishes, submits or transmits to be made available through the Platform; (iii) "Hireable Talent" means a user who creates a Hireable Talent account to list skills, rates, and availability for promoter discovery; (iv) "Marketplace" means the Platform features that allow Promoters to search for and ping Hireable Talent profiles; and (v) "Ping" means a promoter-initiated action that notifies a Hireable Talent user and unlocks contact details within the Marketplace.
2.1. General Age Requirement. The Services are intended for users who are at least eighteen (18) years of age. By using the Services, you represent and warrant that you are at least eighteen (18) years of age. If you are under 18, you are prohibited from accessing or using the Services.
2.2. Promoter Age Requirement. Notwithstanding the foregoing, if you register as an event organizer or promoter (hereinafter "Promoter") for the purpose of selling tickets or listing events, you represent and warrant that you are at least eighteen (18) years of age.
2.3. Verification. We reserve the right to verify your age and identity at any time. Age verification for Promoters may be conducted through our third-party payment processor, Stripe, Inc. ("Stripe"). Failure to provide satisfactory verification may result in the immediate suspension or termination of your account.
2.4. Hireable Talent Age Requirement. If you register as Hireable Talent, you represent and warrant that you are at least eighteen (18) years of age or at least twenty-one (21) years of age depending on the role and the laws of your state/jurisdiction. You must accurately select your age gate during registration and keep it current.
3.1. Registration Information. In order to access certain features of the Services, you are required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2. Credential Security. You are solely responsible for safeguarding your password and account credentials. You agree not to disclose your password to any third party. You take full responsibility for any and all activities or actions that occur under your account, whether or not you have authorized such activities.
3.3. Unauthorized Use. You agree to immediately notify whats the moves of any unauthorized use of your account or any other breach of security. whats the moves shall not be liable for any loss or damage arising from your failure to comply with the above requirements.
3.4. Account Types. The Platform offers account types including Attendee, Promoter, Staff, Admin, and Hireable Talent.
3.5. Approval Required. Promoter and Hireable Talent accounts require administrative approval before full access is granted. Until approved, access to certain features is restricted or denied.
3.6. Reported / Deactivated Accounts. We may temporarily restrict or deactivate accounts (including Hireable Talent accounts) if they are reported or otherwise flagged for review. Deactivated accounts may lose access to the Platform.
4.1. Marketplace Venue. You acknowledge and agree that the Platform is a technological marketplace that facilitates (a) connections between Promoters and Attendees for events and ticketing, and (b) connections between Promoters and Hireable Talent via the Marketplace. The Platform does not organize, manage, supervise, or guarantee any event, engagement, or hiring outcome.
4.2. No Control Over Events. We do not control, inspect, endorse, or guarantee the quality, safety, morality, legality, truth, or accuracy of any events listed. We do not guarantee that any event will occur as advertised or at all.
4.3. Assumption of Risk. Any interaction between you and other Users, including Promoters or Attendees, is solely between you and such User. You agree that whats the moves shall not be responsible or liable for any loss, damage, injury, or other matters of any sort incurred as the result of such interactions.
4.4. OWNERSHIP AND LIABILITY ALLOCATION The User acknowledges and agrees that the whats the moves brand, trademarks, and associated intellectual property are the property of whats the moves LLC. The commercial operations conducted through the Platform—including but not limited to event promotion, ticket sales, event fulfillment, funds management, and compliance with applicable laws—are the sole responsibility of whats the moves LLC. Any claims arising from the use of the Platform's commercial services are against whats the moves LLC.
4.5. No Guarantee of Engagement. The Platform does not guarantee that Promoters will contact or hire Hireable Talent, or that Hireable Talent will obtain work through the Platform.
4.6. No Employment or Hiring Facilitation. Hireable Talent are not employees, agents, or contractors of whats the moves. The Platform does not facilitate hiring decisions, interviews, negotiations, or off-platform communications. Any hiring, engagement, payment, or communication between Promoters and Hireable Talent occurs independently and entirely off-platform. No compensation for talent services is processed through the Platform. The relationship is solely between the Promoter and Hireable Talent.
5.1. Refund Policy. Ticket refunds are handled as follows: (a) In the event of Promoter account deactivation or event cancellation by the Platform, whats the moves will automatically process refunds of the ticket purchase price for all affected ticket holders; (b) In all other cases, refund requests must be directed solely to the Promoter of the event. Promoters are solely responsible for establishing, communicating, and enforcing their own refund policies. whats the moves has no authority to issue refunds on behalf of a Promoter without the Promoter's express authorization and action.
5.2. Additional Terms. Tickets purchased may be subject to additional terms, conditions, and restrictions imposed by the Promoter or the venue operator. It is your responsibility to review such additional terms prior to purchase.
5.3. Service Fees. You acknowledge that all ticket purchases are subject to service fees in addition to the ticket price set by the Promoter. These fees are: (a) A Service Fee of $2.50 per ticket; (b) A Platform Fee of 3% calculated on the sum of the ticket price plus the $2.50 service fee; and (c) Payment processing fees (approximately 2.9% + $0.30 per transaction), which are passed through at cost. Service fees and Platform fees are non-refundable, even in the event that the ticket purchase price itself is refunded. In cases where the Platform initiates a refund due to Promoter deactivation or event cancellation, the ticket purchase price will be refunded but service fees will not be returned. The total price, including all applicable fees, is displayed prior to purchase confirmation.
If you register as a Promoter, you acknowledge and agree to the additional terms set forth in this Section 6:
6.1. Platform Fees. You agree to pay whats the moves the applicable platform service fees for all ticket sales facilitated through the Services. The current fee structure is as follows: (a) A Platform Fee of 3% calculated on the sum of the ticket price plus the $2.50 service fee; (b) A Service Fee of $2.50 per ticket, which is passed on to the ticket purchaser. These fees are deducted from proceeds as application fees at the time of purchase. Promoters receive their payout directly from Stripe according to the payout schedule configured on their connected Stripe account. Discount codes created by Promoters reduce only the Promoter's payout; Platform Fees are calculated on the original, undiscounted ticket price. whats the moves reserves the right to modify fees; any fee changes will take effect on the first day of the month following the announcement of such changes.
6.2. Stripe Connect Agreement. You agree to register a connected account with Stripe to receive payouts. By doing so, you agree to be bound by the Stripe Connected Account Agreement and any other applicable Stripe terms. You acknowledge that whats the moves is not a bank or money transmitter and does not hold funds on your behalf.
6.3. Event Approval and Content. All events submitted for listing are subject to review. We reserve the right, in our sole discretion, to reject, remove, or suspend any event listing for any reason or no reason, including but not limited to events that violate our content guidelines.
6.4. Promoter Responsibilities and Indemnity. You are solely responsible for: (a) The fulfillment of the event, including securing the venue, talent, and equipment; (b) The safety and security of all Attendees; (c) All communications with Attendees regarding the event; (d) Handling all refund requests and disputes in accordance with your policies; (e) Determining, collecting, and remitting any and all applicable taxes, duties, levies, or other governmental charges; and (f) Ensuring that all ticket pricing configurations, including any tiered, customized, or demographic-based pricing structures, comply with all applicable federal, state, and local laws, including but not limited to anti-discrimination statutes. whats the moves provides pricing configuration tools for Promoter use but does not set, recommend, endorse, or mandate any particular pricing structure. Promoters assume sole legal responsibility for their pricing decisions and configurations.
6.5. Tax Reporting. You acknowledge that for earnings exceeding $600 USD (or other applicable statutory thresholds) in a calendar year, tax documentation (including IRS Form 1099-K) may be issued by Stripe. You bear full responsibility for your tax compliance.
6.6. Prohibited Listings. You shall not list events that are illegal, fraudulent, dangerous, explicit, hateful, or that infringe upon the intellectual property or privacy rights of any third party.
If you register as Hireable Talent, you acknowledge and agree to the additional terms set forth in this Section 6A:
6A.1. Profile Information. Hireable Talent must provide accurate, current, and complete profile information, including role, rates, phone number, Instagram handle, age gate, zip code, and bio.
6A.2. Profile Visibility. Hireable Talent may toggle profile visibility. Hidden profiles are not shown in the Marketplace.
6A.3. Contact Details and Pings. Promoters may view Hireable Talent profiles in the Marketplace. Phone numbers and Instagram handles are hidden unless a Promoter sends a Ping. Pings are rate-limited per Promoter account; current limits are enforced by the Platform and may be adjusted at any time. Misuse of the Ping feature, including harvesting contact details, is prohibited and may result in account termination.
6A.4. Reports and Moderation. Hireable Talent profiles may be reported and placed into a restricted state pending review. We reserve the right to approve, reject, or deactivate Hireable Talent accounts at our discretion.
6A.5. Age Gate Verification. We do not verify the accuracy of age-gate selections. Promoters are solely responsible for confirming that Hireable Talent meet any age requirements applicable to the role, venue, or jurisdiction before engagement or employment.
You agree that you will not, under any circumstances:
7.1. Use the Services for any illegal purpose or in violation of any local, state, national, or international law;
7.2. Create false, fraudulent, or deceptive accounts or event listings;
7.3. Attempt to bypass, circumvent, or manipulate the Platform fee structure or billing process;
7.4. Interfere with or damage the operation of the Services, including through the use of viruses, cancel bots, Trojan horses, harmful code, packet flooding, denial-of-service attacks, or similar methods or technology;
7.5. Use any robot, spider, scraper, or other automated means to access the Services or collect data, including User data, for any purpose without our express written permission;
7.6. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services;
7.7. Use any bot technology, automated purchasing software, or similar tools to purchase tickets in quantities exceeding published limits or to circumvent any access controls.
7.8. Scrape, harvest, or otherwise collect Marketplace data or Hireable Talent details without authorization;
7.9. Use contact details obtained through the Marketplace for harassment, spam, or abusive conduct;
7.10. Attempt to bypass Marketplace rate limits (including Ping limits);
7.11. Misrepresent your role, rates, or qualifications in a Hireable Talent profile.
8.1. Right to Terminate. We reserve the right to suspend, disable, or terminate your account and your access to the Services at any time, for any reason, or for no reason, with or without prior notice, including if we believe you have violated these Terms.
8.2. Effect of Termination. Upon termination, your right to use the Services will immediately cease. If you are a Promoter, termination of your account will result in the cancellation of your listed events. We shall not be liable to you or any third party for any termination of your access to the Services. We may suspend or deactivate Hireable Talent accounts that are reported, unapproved, or otherwise deemed in violation of these Terms.
8.3. Account Deletion by User. Attendees, Promoters, and Hireable Talent may permanently delete their accounts via the Profile page. Deletion removes your account profile and Personal Data from the Platform and is irreversible. Certain transactional records (e.g., past event data, payment records) may be retained as required by law for tax, accounting, and auditing purposes, as described in the Privacy Policy. For Promoters, deletion will result in the cancellation of all future events, refund of associated tickets, and deactivation of linked Staff accounts. Staff accounts are managed by their associated Promoter; Staff users who wish to have their account removed should contact their Promoter directly.
8.4. Survival. Sections 9 (Limitation of Liability), 10 (Indemnification), 11 (Governing Law and Jurisdiction), 12 (Dispute Resolution and Arbitration), 13 (Severability and Waiver), and 15 (Intellectual Property) shall survive any termination or expiration of these Terms.

9.1. Disclaimer of Warranties. THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, What's the moves DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9.2. No Liability for Events. whats the moves SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM OR RELATING TO (A) THE USE OR INABILITY TO USE THE SERVICES; (B) ANY EVENT LISTED ON THE SERVICES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PROPERTY DAMAGE, CANCELLATION, OR QUALITY ISSUES; OR (C) THE CONDUCT OF ANY PROMOTER, ATTENDEE, OR OTHER THIRD PARTY.
9.3. Cap on Liability. IN NO EVENT SHALL WHAT\'S THE MOVES' AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICES OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EXCEED THE GREATER OF (A) THE AGGREGATE SERVICE FEES AND PLATFORM FEES ATTRIBUTABLE TO YOUR USE OF THE PLATFORM IN THE TWELVE (12) MONTHS PRIOR TO THE ACT, OMISSION, OR OCCURRENCE GIVING RISE TO SUCH LIABILITY, OR (B) FIVE HUNDRED DOLLARS ($500.00).
9.4. Exceptions to Liability Cap. THE LIMITATION OF LIABILITY SET FORTH IN SECTION 9.3 SHALL NOT APPLY TO (A) DAMAGES ARISING FROM WHAT\'S THE MOVES' GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; (B) DAMAGES ARISING FROM A BREACH OF WHAT\'S THE MOVES' DATA SECURITY OBLIGATIONS RESULTING IN THE UNAUTHORIZED ACCESS TO OR DISCLOSURE OF YOUR PERSONAL DATA; OR (C) ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
You agree to defend, indemnify, and hold harmless whats the moves LLC and its officers, directors, employees, licensors, and agents from and against any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (i) your violation of these Terms; (ii) your violation of any third-party right, including any intellectual property or privacy right; or (iii) any content you submit to the Platform that causes damage to a third party.
These Terms shall be governed by and construed in accordance with the internal laws of the State of Colorado, United States, without regard to its conflict of law provisions. All disputes are subject to binding arbitration as set forth in Section 12. To the extent any claim is determined by applicable law to be exempt from arbitration, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located within the State of Colorado, United States.
12.1. Binding Arbitration. Any dispute, controversy, or claim arising out of, relating to, or in connection with these Terms, including the breach, termination, or validity thereof, shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in the State of Colorado, United States.
12.2. Class Action Waiver. YOU AND WHAT\'S THE MOVES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
12.3. Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court\'s jurisdictional limits.
12.4. Injunctive Relief. Either party may seek emergency injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm, including but not limited to unauthorized data access, pending resolution through arbitration.
12.5. Fee Allocation. What\'s the moves shall pay all AAA filing, administration, and arbitrator fees beyond the initial consumer filing fee as required by the AAA Consumer Arbitration Rules. If AAA determines that a claim is frivolous, the filing party may be required to bear its own costs.
13.1. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall remain in full force and effect.
13.2. Waiver. The failure of whats the moves to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.1. Platform Content. whats the moves LLC holds operating rights to the Platform. All content, branding, text, graphics, logos, trademarks, and design elements displayed on the Platform are owned by whats the moves LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.
15.2. Platform Source Code. The source code, algorithms, and technical infrastructure of the Platform are protected by copyright, trade secret, and other applicable intellectual property laws.
15.3. User Content License. By submitting content to the Platform (including event listings, descriptions, and images), you grant whats the moves LLC a non-exclusive, royalty-free license to use, reproduce, and display such content solely in connection with operating the Platform.
15.4. Content Warranties. You represent and warrant that you own or have the necessary rights to any content you submit and that such content does not infringe the intellectual property rights of any third party.
16.1. Promoter Cancellation. If a Promoter cancels an event, whats the moves will automatically process refunds of the ticket purchase price (excluding service fees and Platform fees) for all affected ticket holders. Individual ticket refunds may be issued by the Promoter through the Platform dashboard at the Promoter's sole discretion. Attendees seeking individual refunds must contact the Promoter directly; whats the moves does not accept, process, or mediate individual refund requests from Attendees.
16.2. Force Majeure. whats the moves shall not be liable for cancellation or postponement of events due to circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, pandemics, or venue unavailability.
16.3. Notification. Promoters agree to notify whats the moves and all ticket holders of any event cancellation or material change at least 48 hours in advance when reasonably possible.
17.1. Commitment to Accessibility. whats the moves LLC is committed to making the Platform accessible to all users, including individuals with disabilities. We strive to conform to recognized accessibility standards and continuously work to improve the user experience for everyone.
17.2. Feedback. If you experience any difficulty accessing or using the Platform due to a disability, please contact us on our support page. We welcome your feedback and will make reasonable efforts to address accessibility concerns.
18.1. Personalization Features. If you opt in to personalization during registration, the Platform may customize your experience based on profile attributes you provide, including but not limited to demographic information, location, and stated preferences. Personalization features may include pre-selecting relevant ticket tiers, tailoring content display, and recommending events or services based on your profile data. Personalization does not restrict access to any available ticket tier, pricing option, or Platform feature. All ticket tiers and pricing options remain accessible to all users regardless of profile attributes.
18.2. Opt-In and Revocation. Personalization is optional. If you opt in to personalization during account registration, you consent to the use of the profile attributes you provide for the personalization features described herein while your account remains active. If you no longer wish to receive personalized features, you may delete your account in accordance with Section 8.3.
18.3. No Guarantee. Personalization is provided for convenience only. What's the moves makes no representations or warranties regarding the accuracy, relevance, or suitability of any personalized content or recommendations.
